OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA, 18 YEARS OF AGE OR OLDER WHO HAVE INTERNET ACCESS AS OF APRIL 2, 2007. THIS SWEEPSTAKES IS FOR VIEWING IN THE UNITED STATES ONLY. IF YOU DO NOT LIVE IN THE 50 UNITED STATES OR DISTRICT OF COLUMBIA, DO NOT ENTER THE SWEEPSTAKES. VOID IN PUERTO RICO AND WHERE PROHIBITED. Employees (and their immediate families (parent, child, spouse or sibling or their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of Sony Electronics Inc. ("Sponsor"), PowerPact, LLC, and their respective parents, affiliates, subsidiaries, sales representative, distributors and vendors involved in this promotion, participating retail outlets, advertising and promotion agencies, and web site providers/web masters are NOT eligible to enter or win. By participating, entrants agree to be bound by these Official Rules and the decisions of the judges and/or Sponsor, which are binding and final on matters relating to this sweepstakes. Sweepstakes is subject to all applicable federal, state and local laws.

  1. HOW IT WORKS: The Sony "Spider-Man™ 3 Challenge" Game ("Game") consists of the online instant win game and a Grand Prize sweepstakes. Game starts 12:00 a.m. Eastern Time ("ET") on April 2, 2007 and ends at 11:59 p.m. ET on May 4, 2007 (the "Entry Period"). The Entry Period will be divided into thirty-three (33) daily entry periods (each, a "Daily Entry Period"), each beginning at 12:00 a.m. ET and ending at 11:59 p.m. ET of each applicable day.

  2. TO REGISTER FOR THE INSTANT WIN GAME AND BE ENTERED INTO THE SWEEPSTAKES: Before participating in the Game, you must go to www.sony.com/spider-man3challenge (the "Website") and register for the Game. As part of your registration, you must provide your email address and create a screen name and password. Each day that you log onto the Website and complete at least one level of the Game (as described in Rule #3 below) you will receive one (1) entry into the Grand Prize Sweepstakes ("Sweepstakes"). Limit one (1) Sweepstakes entry per day, per person/email address. You may receive one (1) additional entry into the Sweepstakes for each correct trivia question you answer during game play, one (1) trivia question per game level, up to a maximum of four (4) per game play, 20 per day. Total number of entries per day, 21. You may also receive one (1) additional entry into the Sweepstakes for each friend you refer to the Game who registers for and plays at least one level of the Game (listed in rule #3). You may refer friends at the conclusion of playing all four (4) levels listed in rule #3 up to a maximum of ten (10) referrals throughout the Promotion Period for a maximum total of ten (10) possible additional entries. Each referral email address you provide must be unique and the individual referred must register for and play the game in order for you to receive an additional sweepstakes entry.

    To enter the Grand Prize Sweepstakes drawing only, on a 3x5 card hand print your name, address, telephone and date of birth to: Spider-Man™ 3 Challenge Sweepstakes, P.O. Box 677, Midlothian, VA 23113. Entries must be postmarked by 5/4/07 and received by 5/14/07.

  3. TO PLAY THE ONLINE INSTANT WIN GAME: After registering for the Game or logging in to the Game, you will be taken to the Game page. The Game will consist of four levels. At the completion of each level you will be asked a trivia question to gain access to the next level of the Game. Repeat the process through completion of the Game (levels 1-4). Once you complete level 4, you will be told if you are an instant winner (subject to verification). Not all Game plays resulting in the completion of level 4 are winners of an instant win prize. If you are an instant winner, follow the on-screen instructions to redeem your prize. You may play the Game up to five (5) times per day for a total of five (5) instant win game plays per person/email address per day.

    Odds of winning an Online Instant Win prize depend on the number of eligible Game plays received and the timing of such entries in any given day, during the Daily Entry Period. Game Plays/Entries generated by script, macro or other automated means are void. All entries become the property of Sponsor and will not be acknowledged or returned.

  4. GRAND PRIZE SWEEPSTAKES RANDOM DRAWING: The Sweepstakes random drawing will take place on or about 5/18/07 from among all eligible entries received during the Promotion Period to award the Sweepstakes Grand Prize. Decisions of judges are final. Potential winners will be notified by mail, phone, and/or e-mail. The odds of winning a prize in the Sweepstakes depend upon the total number of eligible entries received during the Promotion Period.

  5. All claims subject to verification. Screen shots are not proof of winning. Material submitted becomes the sole property of Sponsor and will not be returned. If by reason of a printing or other error, more prizes are claimed than the number set forth in these official rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of prizes available in the prize category in question. No more than the advertised number of prizes will be awarded.

  7. GENERAL PRIZE CONDITIONS/RESTRICTIONS: e-Movie Cash™ is subject to terms and conditions as specified by issuer. Prizes are awarded "as is" with no warranty or guarantee, either expressed or implied by Sponsor. Winners may not substitute, assign or transfer prize or redeem prize for cash, but Sponsor reserves the right, at its sole discretion, to substitute a prize (or portion thereof) with one of comparable or greater value in the event an offered prize or any portion of any offered prize becomes unavailable for any reason. Winners are responsible for all federal, state and local taxes as well as any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. Potential winners of prizes valued over $600 must sign and return a notarized Affidavit of Eligibility and Liability/Publicity Release within 14 days of first attempted notification. Noncompliance within this time period may result in disqualification. Sweepstakes Grand Prize winner is responsible for vehicle registration, license, title, taxes and insurance fees and for all costs associated with any available upgrade/option packages or equipment not provided with prize vehicle. Winner must take delivery of vehicle within 30 days of notice of availability from Sponsor-selected dealer near winner's residence, or prize may be forfeited and awarded to an alternate. Winner must a have valid driver's license and proof of insurance to take delivery. Vehicle awarded may differ from any vehicle shown in promotional materials. Vehicle color, options and equipment will be determined by Sponsor in its sole discretion. If a winner cannot accept the prize as stated, prize will be forfeited and, at Sponsor's discretion, an alternate winner will be selected. All prize details are at Sponsor's sole discretion. ARV of movie poster subject to fluctuation based on current market value at time of prize award. Any unclaimed Instant Win Prizes will not be awarded.

    GENERAL CONDITIONS: If, for whatever reason, Sponsor receives more valid prize claims for any Prize Category and/or prize level than the number stated herein, Sponsor reserves the right, at its sole discretion, to award the stated number of prizes for that Prize Category and/or prize level at random from among all valid, non-suspect prize claims received for the Prize Category and/or prize level at issue. Released Parties (as defined below) are not responsible for lost, late, incomplete, inaccurate, stolen, misdirected, undelivered, garbled, or illegible entries, game plays or email; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), web site, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or problems of any kind whether human, mechanical, electronic, network, computer, typographical, printing or otherwise relating to or in connection with the sweepstakes, including, without limitation, errors or problems which may occur in connection with the administration of the sweepstakes, the processing of entries, the announcement of the prizes or in any sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the sweepstakes. Released Parties are not responsible for injury or damage to participants' or to any other person's computer related to or resulting from participating in this sweepstakes or downloading materials from or use of the web site. Persons who tamper with or abuse any aspect of the sweepstakes or web site or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified. Should any portion of the sweepstakes be, in Sponsor's sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, Sponsor reserves the right at its sole discretion to void suspect entries and/or game plays and/or suspend, modify or terminate the sweepstakes and, if terminated, at its discretion, select the potential winner(s) for the Grand Prize drawing at issue from all eligible, non-suspect entries received for such drawing prior to action taken or as otherwise deemed fair and appropriate by Sponsor. Entrants, by participating, agree that Sponsor, PowerPact, LLC, and their respective parents, affiliates, subsidiaries, retailers, distributors, suppliers, advertising and promotion agencies, and web site providers/web masters, and all of their respective officers, directors, employees, representatives and agents (collectively, "Released Parties") will have no liability whatsoever for, and shall be held harmless by entrants against, any liability, for any injuries, losses or damages of any kind, including death, to persons, or property resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of a prize or participation in this sweepstakes. Each winner, by acceptance of prize, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, address (city and state), photograph, voice and/or other likeness and prize information for advertising, trade and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide, in perpetuity, without additional compensation, notification or permission. In the event of a dispute regarding entries received from multiple users having the same e-mail account, the authorized subscriber of the e-mail account at the time of entry will be deemed to be the entrant and must comply with these rules. Authorized account subscriber is the natural person who is assigned the e-mail address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses. Caution: Any attempt by a contestant to deliberately damage any website or undermine the legitimate operation of the game is a violation of criminal and civil laws and should such an attempt be made, Sponsor reserves the right to seek damages from any such contestant to the fullest extent of the law.

  8. WINNER'S LIST: For the names of the winners (available after May 31, 2007), send a self-addressed stamped envelope to: Spider-Man™ 3 Challenge — Winners List, P.O. Box 677, Midlothian, VA 23113, for receipt no later than May 31, 2007.
